1. Agreement Overview
These Terms and Conditions (“Terms”) govern all services provided by Magnate Productions (“Company,” “Magnate,” “we,” “us,” or “our”), including but not limited to website design and development, search engine optimization (SEO), Google Ads management, hosting, ongoing support, and related digital services (collectively, the “Services”).
By engaging our Services, signing a Service Agreement, submitting a payment, or otherwise working with us, you (“Client,” “you,” or “your”) agree to be bound by these Terms in addition to any individual Service Agreement executed between you and Magnate. In the event of a conflict between these Terms and a signed Service Agreement, the Service Agreement shall prevail.
2. Scope of Services
Magnate provides custom website design and development services built on the WordPress platform. Our Services may include:
- Custom WordPress website design and development tailored to your business, branding, and functional requirements
- Integration with third-party booking and management software (iCANS, Docket, DRS, Wayste, Trash Lab, Jobber, GoHighLevel, ServiceCore, and others)
- Google Business Profile integration, including automatic review display on your website
- Search engine optimization (on-page SEO, city pages, county pages, and Service Area pages)
- Post-launch support and maintenance as outlined in your Service Agreement
- Website hosting services
- Google Ads setup and management
The specific scope, deliverables, page count, and features for your project are defined in your individual Service Agreement. Work outside the agreed scope requires a separate quote and written approval.
3. Payment Terms
3.1 Payment Structure
All website projects are structured as a two-payment arrangement unless otherwise specified in your Service Agreement:
- Start Fee (50%): Due upon signing the Service Agreement. This payment initiates your project and secures your spot in our build queue.
- Completion Fee (50%): Due on whichever of the following occurs first: (a) exactly 30 days after the Start Fee is paid, or (b) at the time you approve and are ready to launch your website. For example, if your website is completed and approved 7 days after the Start Fee is paid and you want to launch, the Completion Fee is due at that time.
Credit card payments are subject to a processing fee. ACH payments are available upon request and may waive processing fees. Exact amounts are specified in your individual Service Agreement.
3.2 Installment Plans
Magnate offers flexible installment payment options for qualifying projects. Installment plans allow you to break your project cost into smaller scheduled payments. Installment terms, eligibility, and pricing may differ from our standard two-payment structure. In the event of a conflict between these general Terms and the specific terms of an executed installment agreement, the installment agreement shall prevail.
3.3 Billing Authorization
By signing a Service Agreement, you authorize Magnate to securely store and automatically charge the payment method on file for the amounts and billing events specified in that agreement, including the Completion Fee and any recurring hosting fees if applicable.
3.4 Failed Payments
If an automatic payment fails, you must update your payment method within 3 business days. Magnate may pause services, suspend hosting, or delay launch until payment is resolved.
3.5 Revocation of Authorization
Payment authorization remains in effect until all amounts due have been paid or until revoked in writing. Revocation does not remove or delay any owed payments.
4. Magnate Guarantee
30-Day Launch Guarantee: If we don’t launch your website within 30 days, you don’t owe the second half.
Magnate guarantees that your website will be completed and ready to launch within 30 calendar days of project kickoff. If we fail to meet this deadline and none of the void conditions in Section 4.2 apply, you are not responsible for the Completion Fee (the remaining 50%). The Start Fee is retained by Magnate regardless of outcome. We have a 100% success rate on this guarantee to date.
We will not launch your website without your approval. Revisions needed to reach approval on the agreed-upon scope and design direction are included at no additional cost prior to launch.
4.1 Guarantee Conditions
The 30-Day Launch Guarantee is subject to the following conditions. All of the following must be true for the guarantee to remain in effect:
- You must complete the onboarding form within 48 hours of project kickoff
- You must respond to preview deliveries, revision requests, and approval requests within 48 hours
- You must provide any requested content, images, logos, or materials within 48 hours of the request
- Revision feedback must be reasonable in scope and submitted in consolidated batches rather than ongoing, open-ended streams of individual changes
4.2 Guarantee Void Conditions
The 30-Day Launch Guarantee is automatically voided if any of the following occur:
- Client delays: You fail to respond to communications, preview deliveries, or approval requests within a reasonable timeframe, causing the project timeline to extend beyond 30 days
- Excessive or endless revisions: You submit an unreasonable volume of revision requests that go beyond refining the approved design direction, including repeated changes to previously approved elements, contradictory feedback, or revisions that effectively restart the design process
- Scope changes: You request additions, features, pages, or functionality not included in the original Service Agreement after the project has begun
- Content delays: You fail to provide required content, images, branding materials, or access credentials in a timely manner
- Any other client-caused delay: Any action or inaction on your part that prevents Magnate from completing the project within the 30-day window, including but not limited to extended unavailability, failure to make decisions, or deliberate stalling
If the guarantee is voided due to any of the above, the standard payment terms apply in full and the Completion Fee remains due on its originally scheduled date.
5. Project Initiation and Timeline
Your project begins upon receiving all three of the following: approval of the Service Agreement, the Start Fee payment, and completion of our onboarding form.
We estimate delivery of your website preview within 14 days of project initiation, based on current workload. Our 30-Day Launch Guarantee ensures your website will be completed and ready to launch within 30 calendar days of kickoff, provided the guarantee conditions outlined in Section 4.1 are met.
Important: Project timelines depend on timely client responses and content delivery. Delays in providing required content or feedback may extend the project duration, void the 30-Day Launch Guarantee, and do not affect payment deadlines. The Completion Fee remains due on whichever comes first: 30 days after the Start Fee or at the time of launch approval.
6. Revisions and Approval Process
- All edit requests should be submitted through our contact page or the email address provided in your Service Agreement
- We encourage you to bundle revision feedback where possible to streamline the process
- Final website approval triggers the launch process
- Revisions within the agreed-upon scope and design direction are included at no additional cost until final approval
- After launch, all edits fall under the support and maintenance terms outlined in Section 8
7. Website Hosting
Magnate offers optional managed hosting to keep your website live, secure, and performing at its best. Hosting is billed on a monthly or annual basis as specified in your Service Agreement. Hosting fees are non-prorated and non-refundable once billed.
If hosting is discontinued or transferred to another provider, Magnate is not responsible for the website’s functionality under a different host.
If you choose to provide your own hosting, Magnate may charge a one-time fee to build on your given hosting platform, as building on a platform not native to our systems creates additional friction and effort. If Magnate begins the build on our hosted platform and you later decide to self-host, a one-time migration fee applies. Specific fees are outlined in your Service Agreement.
8. Ongoing Support and Maintenance
8.1 Complimentary Support Period
Magnate provides complimentary support for minor updates and basic troubleshooting during the first 3 months after website launch. This period is intended to help you get comfortable with your new website and ensure everything is functioning smoothly. Support terms apply only after the website has been launched.
8.2 Edit Request Limits
During the complimentary support period, you may submit up to two (2) edit requests per month at no additional cost. An edit request is defined as any message asking Magnate to change, update, adjust, or modify anything on the website. We encourage you to batch multiple edits into a single request to maximize your included support.
8.3 Paid Edits
If more than two edit requests are submitted in a given month, or if a request exceeds the scope of minor updates, the request will be billed at Magnate’s standard support rate. All paid edits carry a minimum charge, with additional time billed at our standard hourly rate. Magnate reserves the right to decline any request that falls outside support scope or requires more than a minor update.
8.4 Support After the Complimentary Period
After the initial 3-month support period, ongoing website support is not included. You may choose from the following options:
- Hourly Support: Billed at Magnate’s standard hourly rate per edit request
- VIP Support Plan: A monthly plan providing ongoing help, priority response, and unlimited requests
- Active SEO or Google Ads Clients: Clients with an active SEO or Ads plan receive continued support at no additional cost for as long as their plan remains active
You always retain full ownership and access to your website and may update the site yourself at any time.
8.5 What’s Included in Support
- Minor text edits
- Replacing existing images with client-provided images
- Troubleshooting and performance checks
- Plugin and software updates (sites hosted with Magnate)
- Guidance on using the website
8.6 What’s Not Included
The following always require a separate quote and are considered standalone paid projects:
- Adding new pages or new website sections
- Redesigns or major layout and styling changes
- Adding new features or third-party integrations
- Fixing extensive user-made errors
- Large content uploads, blog posting, or ongoing content management
9. Intellectual Property Rights
Upon full payment, you own all rights to the completed website, including design, content, and access. Your website is your asset.
If cancellation occurs before final payment, ownership remains with Magnate until all required payments are finalized. Magnate retains the right to display the completed website in our portfolio and marketing materials unless you request otherwise in writing.
Any third-party assets (stock images, plugins, fonts, software licenses) remain subject to their respective licensing terms.
10. Cancellation and Refund Policy
10.1 Non-Refundable Deposit
The Start Fee (50% deposit) is non-refundable under all circumstances. This payment compensates Magnate for reserving resources, conducting initial research, and beginning the design and development process.
10.2 Cancellation Window
You may cancel only between paying the Start Fee and receiving the initial website preview. If cancellation is submitted during this window, Magnate retains the Start Fee and no further payment is owed.
10.3 After the Website Preview
Once the preview has been delivered, you may still cancel the project. However, the Completion Fee is still owed on its scheduled due date (30 days after the Start Fee or at launch approval, whichever comes first), and the Start Fee remains non-refundable.
10.4 Delivery Note
Important: Delivery of the website preview to your email address on file counts as official delivery, whether or not you open or read the email. We will always email and/or text you to ensure you are notified of the delivery.
11. Client Responsibilities
To ensure a smooth project and timely delivery, you agree to:
- Complete the onboarding form promptly and provide accurate business information
- Provide any requested content, images, logos, and branding materials in a timely manner
- Respond to revision requests, preview deliveries, and approval requests within a reasonable timeframe
- Provide valid and current payment information
- Communicate all feedback and edit requests through the channels provided in your Service Agreement
Delays in providing required content or feedback may extend the project duration without affecting payment deadlines.
12. Limitation of Liability
To the maximum extent permitted by law, Magnate Productions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of profits, loss of business, loss of data, or cost of substitute services, arising out of or related to the use or inability to use our Services.
Our total liability for any claim arising out of or relating to these Terms or our Services shall not exceed the total amount paid by you to Magnate for the specific Services giving rise to the claim.
Magnate is not responsible for any losses resulting from third-party services, hosting outages not within our control, changes to search engine algorithms, fluctuations in website traffic or rankings, or any circumstances beyond our reasonable control.
13. Indemnification
You agree to indemnify, defend, and hold harmless Magnate Productions, its officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: your use of the Services, your breach of these Terms, any content or materials you provide to Magnate, or your violation of any rights of a third party.
14. Disclaimer of Warranties
Our Services are provided “as is” and “as available” without warranties of any kind, either express or implied. Magnate disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
While we build websites optimized for search engines and conversions, we do not guarantee specific search engine rankings, traffic volumes, lead generation results, or revenue outcomes. SEO and digital marketing results depend on many factors outside our control, including market competition, algorithm changes, and industry dynamics.
15. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or our Services shall be resolved through good-faith negotiation between the parties. If a dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.
16. Electronic Communications
By engaging our Services, you consent to receive communications from us electronically, including via email and text message. You agree that all agreements, notices, disclosures, and other communications that we provide electronically satisfy any legal requirement that such communications be in writing.
Electronic signatures on Service Agreements are legally binding, equivalent to handwritten signatures, and constitute your agreement and intent to be bound by the terms outlined therein.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
18. Entire Agreement
These Terms, together with any executed Service Agreement and our Privacy Policy, constitute the entire agreement between you and Magnate Productions regarding the subject matter herein and supersede all prior or contemporaneous oral or written communications, proposals, and representations.
19. Modifications to These Terms
We reserve the right to update or modify these Terms at any time. Changes will be posted on this page with an updated “Last Updated” date. Your continued engagement with our Services after any modifications become effective constitutes your acceptance of the revised Terms.
